Regarding change of face value and market lot of listed companies: Securities and Exchange Commission vide its Notification No. SEC/CMRRCD/ 2010-201/23 dated March 01, 2010 has informed the following: To make the capital market more transparent, efficient, and dynamic , the following decisions have been taken regarding the proposed change of the face value and market lot of shares of listed companies in a meeting of the Ministry of Finance held on 5th November, 2009 headed by the Honorable Finance Minister: ' In future, the minimum face value of all the listed companies should be standardized. Since the face value of most of the listed companies is Tk. 100.00, fixing a standardized face value of Tk. 100.00 would be better. Prime Islami Life Insurance Ltd. (PRIMELIFE) has released un-audited 3rd quarter earnings which has ended on September 30th ( January to September) in 2009. The company has reported an increase in life revenue account of Tk. 443.41 m. with total life insurance fund of Tk. 1,831.65 m. as against Tk. 313.03 m. and Tk. 1,161.15 m. respectively in a same period of the previous year. According to this earnings report, company has increased 41% of revenues compare to same period in last year and also allocated 20% and 30% bonus dividends in 2007, 2008 year.

Eastern Housing Limited (EHL ) has released the first quarter of earnings which has ended 31st of October, 2009. According to the release, company has reported net profit of 25.38 million Tk. after tax and EPS of 4.09 Tk. comparing to a same quarter in last year against net profit of 19.47 million Tk. and EPS of 3.14 that shows 30.35% of net profit increase in just one quarter and records as a higher percentage of growth company. It is kind of convincing more about dividends payment that company can maintain allocating 15% of dividends based on the past history of dividends payment. The current PE is 41.52 which is higher than standard PE ratio.

SEC vide its directive no. SEC/CMRRCD/2001-43/03 dated December 09, 2009 has directed DSE that; the stock exchange shall not entertain the equity securities with price-earning ratio of above 75 (seventy five) as 'marginable securities' under clause (d) of sub-rule (12) of rule 3 of the Margin Rules, 1999 and the stock brokers shall not provide loan facilities to their clients to purchase the said securities until further order. This Directive shall supersede the previous Directive no. SEC/CMRRCD/2001-43/199 dated October 21, 2009. This has come into force with effect from 09.12.09. SEC has further informed that for calculating P/E ratio, EPS should be based on the latest audited/un-audited financial statements released by the respective issuer companies.

Just today December 15th, the board of directors of Bangla Process (BANGLAPRO ) has decided allocating 6% of dividends to investors in the period of 2008 to 2009. The current year’s earnings is not as much as last year and no growth has been noticed to this year so do the dividends payment which is 6% same as last year. So much of buying pressure has increased as well its price jumped to 1155.0 Tk. what it means investors are currently paying 429.37 times higher than its per share of earnings. Company has showed a fearless attempt to move on providing dividends when the earnings is still struggling on keeping a same growth rate as last year. What would happen if management is unable to pull back and make it as growth company with continuous positive earnings? There might be some consequences when a company does not have enough cash flow to run daily businesses and no source of growth earnings.

3. Merchant Banking and Investment Division of the Bank shall be converted into a subsidiary company in the name and style 'Prime Bank Investment Ltd.' with an Authorized Capital of Tk. 1,000 crore and paid-up capital of Tk. 300 crore subject to approval from the Regulatory Authorities and
4. Prime Bank Ltd. shall form a subsidiary company in the name and style 'Prime Bank Securities Ltd.' with an Authorized Capital of Tk. 150 crore and paid-up capital of Tk. 75 crore to acquire the Membership of Stock Exchanges subject to approval from the Regulatory Authorities.
